IV. BUSINESS A. Authorize Signature: Real Estate Option Agreement – Block 1 – Rungoli (Panache) At the October 11th HEDRA Meeting, the board voted to accept a Letter of Intent from Panache, LLC to acquire a 1.49 acre parcel in Riverfront 2nd Addition, located directly north of Artspace and develop a mixed use facility to include a cidery tasting room. To further memorialize the potential development, a Real Estate Option Agreement has been drafted to more clearly articulate the action. The Option Agreement would accomplish the following:  Provides Rungoli LLC (Panache’s Property Company) until June 1, 2019 to exercise the Option to develop the property.  Rungoli is required to notify HEDRA if it intends to exercise the Option granted. Upon receipt of the notice both HEDRA and Panache would have up to 60 days to come to agreement on the purchase price of the property.  The sales price would then be incorporated into a future Purchase Agreement for sale of the property; with sale occurring no earlier than 30 days nor more than one year front date of the Option Agreement.  The Option Agreement would terminate if an agreement to sales price is not achieved within 60 days of notice to exercise the option or upon Option termination date of May 1, 2019.  HEDRA would provide an Abstract of Title certified to date or a commitment for an owner’s policy of title insurance for Panache’s review.  Rungoli’s Commitment to provide $1,000 in earnest funding under the Letter of Intent would be incorporated into payment for the Option. Action Authorize Signature of the Real Estate Option Agreement for Rungoli LLC (Panache Cidery) for portions of Outlots A and B, Riverfront 2nd Addition: Please see the attached Option Agreement for further information. V. REPORTS AND INFORMATION A. Great River Landing Confluence Development has submitted plans for the building permit application to begin work on the former Hudson building. Plans were received on November 30th and are currently being reviewed by the Building Department. The Landscape Plan and Photometric Plans have also been submitted and will be reviewed by the Planning Commission on December 10th. Upon action by the Commission, the City Council would review on December 17th. Please see the attached Landscape Plan for further information. B. Economic Development Services We received three responses to our Request for Proposal (RFP) to provide economic development services. Upon review of the proposals and discussion with the respondents, we chose not to accept any of the proposals. Upon further reflection we believe the most effective way to provide economic development assistance is through the hiring of a full time position and will be advertising shortly to fill the Economic Development Coordinator vacancy. C. Recognition of Artspace Hastings Lofts Artspace Hastings Lofts was featured in the recent issue of Architecture Minnesota as a great example of affordable housing construction. The article can be found at https://www.aia-mn.org/architecture-mn-november-december-2018. The Project has also a finalist for the ReScape Community Impact Award by Minnesota Brownfields, an organization promoting the redevelopment of environmentally contaminated sites. The site has been recognized for transforming the former industrial site located at 121 Tyler Street into 37 affordable housing units and retail space. D. E. HEDRA Commissioner Vacancy Applications are still being received for a HEDRA Commissioner to serve beginning in January, 2019. Further information on the position can be found on the City of Hastings Website. F. Recognition of HEDRA Commissioner Pam Denning December 13th will be the last HEDRA Meeting for current President Pam Denning. Pam has served the City of Hastings for nearly 14 years, serving on the HRA from 2004-2009 and on HEDRA since its inception in 2009. Her insight as a downtown business owner, realtor, and champion of Hastings will be missed. I want to personally thank Pam for her commitment to making Hastings a better place!
