Members present: Councilmen Novak, Kane, Collins, Hallberg, O'Connor, Wilson, Driscoll, Christenson. Members absent: Mayor Rotty. o Acting Mayor Novak presiding. Minutes of the last meeting were read and approved. Moved by Councilman Driscoll, seconded by Councilman Christenson that the date of the next Council meeting be February 22, 1972 because the regular scheduled date of Monday, February 21, 1972 is a legal holiday. Ayes, all; Nays, none. Councilman Driscoll introduced the following resolution and moved its adoption: RESOLUTION PROVIDING FOR PUBLIC SALE OF $350,000 GENERAL OBLIGATION IMPROVEMENT BONDS OF 1972 BE IT RESOLVED by the City Council of the City of Hastings, Minnesota, as follows: 1. It is hereby found, determined and declared that this City should issue $350,000 General Obligation Improvement Bonds of 1972 to defray the expense of refunding the $535,000 Temporary Improvement Bonds of 1969. 2. This Council shall meet at the time and place specified O. in the form of notice hereinafter contained for the purpose of opening and considering sealed bids for, and awarding the sale of $350,000 General Obligation Improvement Bonds of 1972 of said City. 3. The City Clerk is hereby authorized and directed to cause notice of the time, place and purpose of said meeting to be published in the official newspaper of the City and in Commercial West not less than ten days in advance of date of sale, as provided by law, which notice shall be in substantially the follow~n8 form: NOTICE OF BOND SALE $350,000 GENERAL OBLIGATION IMPROVEMENT BONDS OF 1972 CITY OF HASTINGS (DAKOTA AND WASHINGTON COUNTIES), MINNESOTA These bonds will be offered Monday, March 20, 1972 at 8:00 P.M. CST. Bids will be received by the City Council at the City Hall, Hastings, Minnesota. Dated April 1, 1972, the bonds will mature on April 1 in the years and amounts as follows: $45,000 1973-78, $40,000 1979-80~ All bonds will be without right of prior redemption. No rate of interest nor the net effective average rate of the issue may exceed 7% per annum. The proceeds will be used together with funds on hand to refund the Temporary Improvement Bonds of 1969. The motion for the adoption of the foregoing resolution 878 was duly seconded by Councilman Wilson and upon a vote being taken thereon, the following voted in favor thereof: All; and the follow- ing voted against the same: None. Whereupon said resolution was declared duly passed and adopted. EXHIBIT A - STATEMENT OF TERMS AND CONDITIONS n OFFICIAL NOTICE OF BONDS SALE $350,000 GENERAL OBLIGATION IMPROVEMENT BONDS OF 1972 CITY OF HASTINGS (DAKOTA AND WASHINGTON COUNTIES), MINNESOTA These bonds will be offered Monday, March 20, 1972 8:00 P.M., CST, at the City Hall, Hastings, Minne- sota, on the following terms: DATE AND INTEREST The bonds will be dated April 1, 1972. Interest will be payable October 1, 1972 and each April 1, and October 1, thereafter. TYPE AND PURPOSE Negotiable coupon, general obllgation, for which the unlimited taxing powers of the Issuer will be pledged in addition to special assess- ments of $338,000 against benefited property, $5,000 each, unless other denominations are requested by the Purchaser within 48 hours after the award. The proceeds will be used together with funds on hand to refund the Temporary Improvement Bonds of 1969. MATURITIES AND REDEMPTION [ April 1, in the years and amounts as follows: $45,000 1973-78 $40,000 1979-80 All dates are inclusive. All bonds will be without right of prior redemption. PAYING AGENT May be named by bidder subject to Issuer's acceptance, which may be assumed unless the Purchaser is otherwise notified within 24 hours after the Issuer has been advised of the proposed agent. Issuer will pay customary charges. DELIVERY Within 40 days after award, subject to the unqualified approving legal opinion of Messrs. Briggs & Morgan of St. Paul, Minnesota, and custo- mary closing papers, including a statement of non-litigation. Bond prin~ing;and legal opinion will be paid for by the Issuer. Delivery will be at a place of the Purchaser's choice. n Payment must be made in Federal Funds, or equivalent immediately available funds, on day of delivery. Legal opinion will be printed on the bonds. TYPE OF BID Sealed bids for not less than $343,138 and accrued interest on the principal sum of $350,000 from the date of the bonds to date of deli- very must be filed with the undersigned prior to time of sale, to- gether with a certified or cashier's check in the amount of $7,000, payable to the order of the Treasurer of the Issuer, to be forfeited as liquidated damages if the bidder fails to comply with the accepted bid. 879 RATES All rates must be in integral multiples of 5/100 of 1% and may not exceed 7% per annum. All bonds of the same maturity must bear a single rate from date of issue to maturity. No rate of any maturity may be more than 7% lower than the highest rate carried by any of the pre- ceding maturities. Additional coupons may not be used. A limit of four interest rates may be specified. AWARD Award will be made on the basis of lowest dollar interest cost; deter- mined by the addition of any discount to and the deduction of any premium from the total interest on all bonds from their date to their stated maturity. The net effective average rate of the issue may not exceed 7% per annum. Acting Mayor qualified his aye vote by the fact that the initiation of the rezoning of the property involved would have no effect on the possible purchase price to the County as one suggested Court House site. Moved by Councilman O'Connor, seconded by Councilman Wilson to refer to the Planning Commission a request by Montessori Academy, Inc. to open class rooms in a multiple family residential structure at 1120 Bahls Drive, Apartment 137. Ayes, all; Nays, none. Moved by Councilman Driscoll, seconded by Councilman Wilson 880 that Councilman Kane be appointed to the Natural Resources Commission as City Council representative. Ayes, all; Nays, none. Moved by Councilman Hallberg to deny a building permit and a special use permit to Ray Rother for the following reasons: 1. The present auto repair garage should have requested a Special Use Permit since auto repair is not a permitted use in a C-3 zone. 2. It is further the intent of the ordinance that non-con- formity shall not be enlarged upon, expanded or extended. 881 3. Councilman Driscoll introduced the following resolution and moved its adoption: RESOLUTION RECEIVING PRELIMINARY REPORT AND SETTING PUBLIC HEARING ON PROPOSED IMPROVEMENTS o WHEREAS, a preliminary report has been prepared by the City Engineer with respect to the improvements described in the Notice of Hearing hereinafter set forth, and WHEREAS, said Engineer has advised this Council that the aforesaid improvement is feasible and should be made as proposed in the Notice of Hearing thereon, and WHEREAS, the Council considers it expedient to make the following listed improvements, NOW THEREFORE, BE IT RESOLVED By the City Council of the City of Hastings, Minnesota, as follows: 1. The City Council proposes to assess all or part of the cost for such improvements against every lot, piece or parcel of land within the Corporate Limits that abuts upon said improvements according to the special benefits received without regard to cash valuation. The estimated cost of said improvements is $702,000.00. Persons desiring to be heard in reference to the proposed improvements may be heard at said time and pla~e. CORRECTION OF PLAT Name of Plat: Country Club Second Addition Pursuant to the provisions of Chapter 505.174 Laws of Minnesota, 1957, Delmar H. Schwanz, the undersigned, a Registered Land Surveyor in and for the State of Minnesota, declares as follows: 1. Does the 1971 Tax Bill prohibit the City from levying one mill, pursuant to M.S.A. 193,145, when the one mill would exceed the City's mill limitation, or is a levy pursuant to M.S.A. 193.145 not limited by the 1971 Tax Bill? Moved by Councilman Wilson, seconded by Councilman O'Connor to, authorize the City Clerk to enter into a contract with Northern States Power Company to connect the Water Pumping Station No. 6 to the underground distribution system within the Hastings Industrial Park in accordance with the following terms: Ayes, all; Nays, none. UNDERGROUND SERVICE FORM c In consideration of Northern States Power Company, hereinafter called "NSP", extending its facilities to make 480/277 volt, 3 phase, 4 wire underground service available to City of Hastings, Minnesota at City water pump on Spiral Boulevard, Hastings, the sum of three hundred fifty and no/IOO Dollars ($350.00) will be paid to-NSP by the City of Hastings, Minnesota, Hastings, 55033 in accordance with the following terms: within thirty days following notice by NSP that construction is complete. 1. The customer hereby grants NSP the right, privilege and easement to install, operate and maintain its underground facilities on the on the property as described above and at the approximate locations as shown on the attached "Exhibit A" (On file in the City Clerk's office) 2. The customer also agrees that, prior to NSP starting work: (a) the route of NSP's underground installation shall be accessible to NSP's equipment; (b) all obstructions shall be removed from such route at no cost or expense to NSP; (c) ground elevation along the route shall not be above or more than four (4) inches below the finished grade; and (d) the area under the transformer pad shall be compacted to at least 2000 lbs./ sq. ft. 3. The City of Hastings agrees to pay all additional installation costs incurred by NSP because of (a) soil conditions that impair the installation of underground facilities, such as rock formations, etc., (b) landscaping and paving of areas prior to the installations of the underground facilities. CI 4. The underground installation will be subject to a winter construc- tion charge of $2.00 per trench foot if it is installed between November 1 and April 15. The City of Hastings agrees to pay this charge if NSP determines winter conditions exist when the underground facilities are installed. NSP will waive the winter construction charge if prior to November 1st the custormer is ready to accept electrical service, has executed this form and has notified NSP in writing that the requirements of Paragraph 2 hereof have been fulfilled. 5. The underground facilities installed by NSP, shall be the property of NSP and any payments made by the customer, or his contractor, shall not entitle him to any ownership interest or rights therein. 6. Est. # 13200-08 UNDERGROUND DISTRIBUTION AGREEMENT Agreement made this 7th day of February, 1972, between Northern States Power Company, a Minnesota corporation, hereinafter called "NSP", and the City of Hastings, Minnesota, hereinafter called "Developer"; WHEREAS, DEVELOPER has requested NSP to provide an underground electric distribution system to serve certain properties being developed and known as the new Hastings Industrial Park located on the following described real estate situated in the City of Hastings, County of Dakota, State of Minnesota, to wit: As defined on Exhibit A on file in the City Clerk's Office. NOW, THEREFORE, in consideration of the mutual covenants and agree- ments hereinafter contained to be kept and performed, the parties hereto agree as follows: 1. Subject to all the terms and conditions hereinafter contained, NSP shall install, own, and maintain all facilities necessary to provide an underground electric distribution system approximately as shown on the map or plat attached hereto as "Exhibit A" to serve the above- described real estate. NSP shall determine the exact location of its facilities. o 2. NSP shall endeavor to coordinate the installation of said under- ground system with the activities of the DEVELOPER in the area to be served; provided, however, NSP shall not be required to install said underground system in segments smaller or larger than considered econ- omically feasible by NSP. NSP shall not be responsible for any damages 0 resulting from delay in completing the installation of the underground system contemplated herein, whether such delay is due to ca5ualty, labor dispute, weather or other similar or dissimilar causes beyond the reasonable control of NSP. 5. Prior to the time the installation of any segment of said underground system is commenced by NSP, DEVELOPER shall establish grades in the easement strip and system route which shall not be above or more than four (4) inches below the finished grade. In addition (a) The route of said underground system shall be accessible to NSP's equipment. (b) All obstructions shall be removed from such route by DEVELOPER at no cost or expense to NSP, and (c) Marker stakes at lot corners shall be placed by DEVELOPER at intervals designated by NSP. 6. NSP will make final connections of its facilities to each customers wiring. r 7. In consideration of NSP installing and owning the underground system as described in Paragraph 1, DEVELOPER agrees to pay NSP the sum of thirty-nine hundred and seventy dollars ($3,970.00) in accordance with the following terms: within thirty (30) days following notice by NSP that construction is complete DEVELOPER agrees to pay all additional installation costs incurred by NSP because of (a) delays caused by DEVELOPER, (b) soil conditions that impair the installation of under- ground systems, or (d) specific routes or preferred locations of alleys, or other areas prior to the installation of said underground systems, or (d) specific routes or preferred locations of underground facilities made to accomodate the needs of the DEVELOPER, (e) subsequent altering of the grade along the underground system route. 8. Said underground system, installed by NSP shall be the property of NSP and any payments made by the DEVELOPER shall not entitle him to any ownership interest or rights therein. 9. Underground distribution lateral and service lateral extensions shall be charged in accordance with NSP's extension rules applicable at the time the laterals are installed. 10. DEVELOPER agrees to pay winter construction charges of $2.00 per trench foot if NSP is required to install the underground facilities between November 1st and April 15th. However, if the undersigned has executed this Agreement and has notified NSP in writing prior to November 1st that it is ready to accept electrical service and the requirements of this Agreement have been fulfilled, NSP will waive the winter construction charge. Underground distribution laterals and service laterals are subject to the same requirements and charges. n , , i , i 11. DEVELOPER shall not assign this Agreement without written consent of NSP. INDUSTRIAL PARK LAND LEASE CITY OF HASTINGS, a Municipal Corporation whose-post office address is City Hall, Hastings in the County of Dakota and State of Minnesota as LESSOR hereby leases and rents to ALLEN CARLSON AND KEITH CARLSON as LESSEES the farm land lying in Hastings, Dakota County, Minnesota described as follows, to-wit: n \ , 100 Acres, more or less, described as follows: The SE 1/4 of the SE 1/4 of Section 34, except the South 1233.00 feet of the West 382.37 feet of said SE 1/4 of SE 1/4 (10.8 Acres); and the S 1/2 of the NE 1/4 of the SE 1/4 of Section 34, Tl15, R17W; and the SW 1/4 of SW 1/4 of Section 35 except a 2.1 acre tract of land being used to stockpile soil in the S 1/2 of said SW 1/4 of the SW 1/4; and the S 1/2 of NW 1/4 of SW 1/4 in Section 35, Tl15N, R17W, Dakota County, Minnesota, containing 107.1 Acres. for the term of two years, beginning with the 1st day of October 1971. Said LESSEES, in consideration of said lease, hereby covenant with said lessor as follows, to-wit: 886 v 887 Rent: That they will pay to said lessor rent for said land as follows: The sum of $2,000.00 per year, $500.00 upon execution hereof; $2,000.00 October I, 1972 and $1,500.00 September 30, 1973. Lessor acknowledges receipt of the sum of $500.00, said payment being accomplished as follows: $359.42 by crediting Lessee with said sum for damages caused by Lessor to Lessee's crops during the 1971 construc- tion - growing season. The balance of the down payment of $500.00, namely $140.58 is received in cash. Operation: That they will farm said land according to the best practices 0 in the locality thereof and furnish all hired help, tools, implements and machinery necessary to that end; Seed: That they will use only the best seed at their own expense; Threshing: That they will promptly pay all cost of threshing grain each year; Weeds: That they will keep down all weeds each year and will not allow the same to mature seed at any time; Plowing: That they will, immediately after harvesting each crop each year, plow said land; and that in case they shall fail to do so, they hereby authorize said lessor, or its employees, agents and tenants to enter upon said land and to so plow the same at the expense of the lessees; Repairs: That they will at once, at their own expense, replace and repair all damages to improvements on said land caused by their want of care or negligence; Entry by Lessor: That said lessor shall have the right to enter upon said premises at any time, without injury to standing crops, for the purpose of making improvements and to prepare for succeeding crops; o Re-~entry and Chattel Mortgage: That they hereby, to secure payment of said rent, performance of all covenants herein contained, and payment of all advances by said lessor, if any, MORTGAGE to said lessor, heirs and legal representatives, all crops which shall be grown on said land each year; and in case of default in any of covenants herein contained, they hereby authorize and empower said lessor, its heirs, or legai representatives, to cancel this lease, to re-enter upon said land and take full possession thereof and of all crops then thereon, to fore- close said mortgage, to sell all such crops in manner provided by law for foreclosure of chattel mortgages, and out of the proceeds of such sales, to pay all costs of taking possession of the same, fo~losing such mortgage and making such sales, to retain and pay all rents due hereunder and advances, if any, made by them, and to pay the overplus, if any, to said lessee; Cancellation by Lessor: Lessor may cancel this lease on 30 days written notice mailed to Lessees at Lessees residence should Lessor, prior to expiration hereof, require the use of said land for expansion of its Industrial Park facilities or improvement of the same incident to future Industrial Park use. That upon said prior termination, rent shall be allocated on a monthly pro-rata basis. Upon prior cancella- tion, Lessees will be compensated for actual out-of-pocket costs for seed and fertilizer in place. Assignment and subletting: That they will neither assign this lease O. nor sublet any part of said land without consent in writing of said lessor Surrender of Possession and Holding Over: That at the termination of said term and upon re-entry by said lessor as herein provided, they will peaceable surrender possession of all said land to said lessor; and that in case they shall remain in possession thereof after expira- tion of said term or after re-entry as herein provided, it shall not be construed as a renewal of this lease, and that, in such case, they will surrender such possession to said lessor upon demand: IN WITNESS WHEREOF Said Lessor and lessees have hereunto set their 888 hands this 1st day of October, 1971.
