Subject: Hastings Overlook
The City of Hastings received funding from the Supplemental Environmental Program
Grant program in the amount of $50,000 for proposed renovations to the current Flint
Hills Resources fueling dock station. The grant that was awarded is to redevelop the
fueling dock station into an overlook_
As part of the constructionlredevelopment phase, I would like to recommend to the
City Council that we utilize the services of Hoisington Koegler Group to be our
consulting enguieers on this project.
I have enclosed their proposal and proposed plans for this project_

Re: Proposal -River Flats pier.
Dear Barry.
Thank you for the opportunity to continue working with you on the River Flats project. I understand the
City has secured grant fitnding of $50,000 to help fund the conversion of the existing petroleum pumping
station to a pedestrian pier. As you know, the T-shaped pier consists of a steel superstructure, a
concrete/asphaltdeek; pipe railing and a small shed_ The concept we prepared several years ago includes
removal of the shed, redecking or deck repair, new railing, an arbor and lighting. You also suggested
interpretive signage, which would be a great addition.
As we discussed last week, there are a couple of issues to address with the project. First is the potential
that the superstructure is painted with lead paint. I understand you have contacted an expert on that issue.
Second is a determination that the pier is structurally sound and will be for the foreseeable future.
We have included Mattson MacDonald in this proposal. They are a recognized structural engineering firm
in the Twin Cities that i have worked with on past projects. They will conduct a structural evaluation of
the pier as well as a design review of the arbor for issues of wind-load and proper attachment to the pier_
Work elements conducted by HKGi and Mattson MacDonald include:
I. Participate in a kick-off meeting and site visit.
Z. Conduct a structural evaluation of the pier.
3. Prepare construction plans and details including structural review {includes one site visit). _
4. Prepare bidding/quote documents that may include the insertion of lead paint abatement
~i specifications prepared by others. z
`~ 5. Prepare "estimate of probable construction cost".
----6. Facilitate the bidding/quote process.
7. Facilitate one pre-bid meeting and one pre-construction meeting. _
8. Review shop drawings.
9. Conduct up to four site visits with the contractor and City representatives. /
10. Adnunister contractor payment requests.
11. Prepare punch list upon substantial completion.
Work tasks in addition to the items listed above are considered additional services and will be billed on an
actual time and expense basis upon your request. Specific additional services include:

• Services associated with preparing more than one bid/quote package or rebidding upon rejection
of all bids.
• Meetings in addition to those specified above.
• Procurement and fees for all necessary permits.
As part of the project, the City of Hastings will conduct or provide under separate contract the following:
• Coordination and completion of shed demolition_
• Activities related to electrical work.
• Activities and specifications related to lead paint abatement.
• Bid advertisement costs.
HKGi along with Mattson MacDonald proposes to complete work identified above on an hourly basis for
a fee not to exceed $9,400 ~- Mattson MacDonald including reimbursable expenses.

ATTACHMENT A
CLIENT and LANDSCAPE ARCHITECT agree to mediate claims or disputes arising out of or relating
to this Agreement before initiating litigation. The mediation shall be conducted by a mediation service
acceptable to both parties. A party shall make a demand for mediation within a reasonable time after a
claim or dispute arises, and the parties agree to mediate in good faith_ In no event shall any demand for
mediation be made after such claim or dispute would be barred by applicable law. Mediation fees shall
be shared equally.
This Agreement is governed by the Iaws of the State of Minnesota.
Irrespective of any other term in this Agreement, LANDSCAPE ARCHITECT shall not control or be
responsible for construction means, methods, techniques, schedules, sequences or procedures; or for
construction safety or any other related programs; ar for another parties' errors or omissions or for
another parties' failure to complete their work or services in accordance with LANDSCAPE
ARCHTTECT's documents.
CLIENT agrees to indemnify, defend and hold LANDSCAPE ARCHITECT harmless from and against
any and all claims, liabilities, suits, demands, losses, costs and expenses, including, but not limited to,
reasonable attorneys' fees and all legal expenses and fees incurred through appeal, and all interest thereon,
accruing or resulting to any and all persons, firms or any other legal entities on account of any damages or
losses to property or persons, including injuries or death, or economic losses, arising out of the PROJECT
and/or this Agreement, except that the LANDSCAPE ARCHITECT shall not be entitled to
indemnification to the extent such damages or losses are found by a court or forum of competent
jurisdiction to be caused by LANDSCAPE ARCHTTECT's negligent errors or omissions.
Should any legal proceeding be commenced between the parties to this Agreement seeking to enforce any
of its provisions, including, but not limited to, fee provisions, the prevailing party in such proceeding
shall be entitled, in addition to such other relief as may be granted, to a reasonable sum for attorneys' and
expert witnesses` fees, which shall be determined by the court or founn in such a proceeding or in a
separate action brought for that purpose. For.purposes of this provision, "prevailing party" shall include a
party that dismisses an action for recovery hereunder in exchange for payment of the sum allegedly due,
performance of covenants allegedly breached, or consideration substantially equal #o the relief sought in
the action or proceeding.
CLIENT and LANDSCAPE ARCHITECT waive consequential damages for any claims, disputes or other
matters in question arising out of or relating to this Agreement. LANDSCAPE ARCHITECT'S waiver of
consequential damages, however, is contingent upon the CLIENT requiring Contractor and its
subcontractors to waive all consequential damages against LANDSCAPE ARCHITECT for claims,
disputes or other matters in question azising out of or relating to the PROJECT.
To the extent damages aze covered by property insurance during construction, CLIENT and
LANDSCAPE ARCHITECT waive att rights against each other and against the contractors, consultants,
agents and employees of the other for such damages. CLIENT or LANDSCAPE ARCHITECT, as
appropriate, shall require of the contractors, consultants, agents and employees of any of them similar
waivers in favor of the other parties described in this paragraph.
