RE: Certificate of Completion for Lanoga Corporation (UBC)
Under the terms of the Warranty Deed for the Industrial Park property and the
Development Agreement with Lanoga Corp., the City will provide a Certificate of
Completion when all the improvements (building and landscaping) are complete and the
job goals have been met. The Building Department issued the final Certificate of
Occupancy on November 16, 2007, documenting that all work has been completed.
Lanoga reported their job numbers in April, 2008, and the State Department of
Employment and Economic Development was notified that the job goal was met on May
1, 2008. The goal was four jobs at a minimum of $13.00 per hour. Lanoga created eight
jobs at an average wage well over the minimum, plus medical benefits.
The only requirement remaining is the five year rule: Lanoga agreed to continue business
operations in Hastings for five years after the benefit date, until April 21, 2011. The
attached Certificate of Completion includes this exception.
Action: Authorize execution and recording of the attached Certificate of Completion.
CERTIFICATE OF COMPLETION
WHEREAS, the City of Hastings, Minnesota, a home rule charter city ("City")
has conveyed the following described real property to Lanoga Corporation, a Minnesota
Corporation (the "Developer") which conveyance occurred pursuant to a Warranty Deed (the
"Deed") dated as of July 5, 2005 and filed with the County Recorder or Registrar of Titles for
Dakota County on August 24, 2005, as Document No.2354601:
The South 520 feet of Lot 2, Block 1, Hastings Industrial Park Number 3, according to
the recorded plat thereof, Dakota County, Minnesota.
(the "Property"); and
WHEREAS, the Deed was given subject to the covenants, conditions, restrictions and
provisions of a Purchase and Development Agreement entered into between the City and the
Developer on July 5, 2005, (hereafter referred to as the "Agreement"); and
WHEREAS, the Deed and the Agreement contain certain covenants and obligations on
the part of the Developer concerning the development of the improvements and creation of jobs
described therein; and
WHEREAS, the Developer has to the present date performed said covenants and
conditions insofar as the Developer is able in a manner deemed sufficient by the City to permit
the execution and recording of this certification; and
WHEREAS, this Certificate of Completion is the Certificate of Completion identified in
Section 1 of the Deed; and
NOW, THEREFORE, this is to certify that all building construction and other physical
improvements specified to be done and made by the Developer on the above described parcel of
property have been completed and the job goals have been met. This Certificate shall not relieve
the Developer of any other obligations of the Developer under the Agreement, including the
obligation that Lanoga Corporation, its successors or assigns will continuously operate the
improvements in Hastings for five years after the Certificate of Occupancy was issued on April
21, 2006.
